The Room Terms of Business

THE ROOM – SUBSCRIPTION TERMS OF BUSINESS

BETWEEN:

  1. ELOWEN LIMITED incorporated and registered in Jersey with registration number 161813 whose registered office is at Louiseville, Gorey Coast Road, Gorey, St Martin, Jersey, JE3 6EU (the Company, we, our or us); and

  2. THE PERSON ENROLLING ON OR SUBSCRIBING TO THE SERVICE (you, your).

RECITALS

The purpose of this Agreement is to set out the terms under which we will provide subscription-based digital audio and messaging content via a private WhatsApp Broadcast Channel known as "The Room" (the Service). It sets out our respective rights, responsibilities, payment terms, and standards of conduct.

TERMS AND CONDITIONS

By enrolling in, purchasing, or accessing The Room, you agree to be bound by the following terms and conditions:

1. Interpretation

1.1. When used in this Agreement, the following definitions apply:

  • Business Day(s): A day other than a Saturday, Sunday, or public holiday on which banks are open for business in Jersey.

  • Calendar Day(s): All days in the calendar, including weekends and public holidays.

  • Standing Order: A recurring, automated payment instruction set up and managed directly by you within your online banking application, transferring funds directly to the Company's bank account.

  • Subscription Fee: The recurring monthly fee of £7.00 (or such other fee as specified at checkout) payable in advance to access The Room.

  • Subscription Term: The initial calendar month starting on the date of your initial payment, renewing monthly on the same calendar date upon receipt of your recurring Subscription Fee, until cancelled in accordance with Clause 4.

2. Commencement of Contract

This Agreement commences on the date you indicate your acceptance and enrol on or subscribe to The Room via our website or checkout page (or otherwise indicate your acceptance).

3. Service Inclusions

3.1. The Service includes ongoing access to the Company’s private WhatsApp Broadcast Channel (The Room) for the duration of an active, paid Subscription Term.

3.2. Access details, bank account details for Standing Order setup, and a private link to join The Room will be delivered via automated email following receipt of your initial Subscription Fee.

3.3. You must provide a valid telephone number at checkout. We collect and store your telephone number for the purpose of matching your identity against payment records and managing your access to The Room.

4. Subscription Payment, Renewal & Cancellation

4.1. Initial Payment (Month 1): Your initial Subscription Fee for your first 30 Calendar Days is processed at checkout via Shopify (Worldpay).

4.2. Recurring Payments (Month 2 Onwards): To maintain uninterrupted access to The Room following your initial 30 Calendar Days, you must set up a monthly Standing Order via your online banking application within three (3) Business Days of initial enrollment.

  • Standing Order payments must be set to recur monthly on the same date as your initial payment in advance

  • You are strictly required to use your Full Legal Name as the payment reference on your Standing Order instruction to allow payment verification. 4.3. Client Responsibility for Standing Orders: Standing orders are managed directly between you and your banking institution. The Company cannot set up, amend, or cancel standing orders on your behalf. You are solely responsible for managing your standing order instructions. 4.4. Right to Cancel: You may cancel your subscription at any time by notifying us in writing via email at hello@elowen.je at least three (3) Business Days prior to your next payment date.

    4.5. Cancellation & Group Exit: Upon sending your cancellation notice to hello@elowen.je, you are required to cancel your Standing Order instruction within your banking app and voluntarily leave/remove yourself from the WhatsApp Channel.

    4.6. Effect of Cancellation: Upon cancellation, no further Subscription Fees are due. You will retain access to The Room until the end of your current paid monthly period. If you have not removed yourself from the WhatsApp Community by the expiry of your paid period, the Company will manually revoke your access and remove your phone number."

    4.7. Non-Refundable: Subscription Fees paid for an active 30-day period are non-refundable. No pro-rata refunds are provided for cancellations made mid-billing cycle.

    4.8. Failed or Unmatched Payments: If a monthly Standing Order payment is not received by your renewal date, or if a payment cannot be matched to your account due to an incorrect payment reference, the Company reserves the right to immediately suspend or revoke your access to The Room and remove your phone number without prior notice.

5. Self-Study & No Warranties

5.1. You acknowledge that The Room provides self-study digital audio and messaging content, and your results are individual and dependent on your own effort, commitment, and circumstances.

5.2. We make no guarantees that you will achieve any specific personal, professional, or financial results from participating in or using The Room.

5.3. The Service is provided on an 'as-is' and 'as-available' basis. We make no warranties or representations regarding the accuracy, completeness, or fitness for a particular purpose of the content provided in The Room.

5.4. We do not provide medical, psychological, legal, investment, or financial advice.

6. Intellectual Property & Content Protection

6.1. All audio recordings, text, graphics, materials, and digital assets shared within The Room are the exclusive intellectual property of the Company.

6.2. You may not record, screenshot, forward, reproduce, sell, distribute, or share any content from The Room with any third party without our express prior written consent. Breach of this clause will result in immediate termination of access without refund, alongside potential legal proceedings.

7. Confidentiality & Community Rules

7.1. You agree to keep strictly confidential all non-public information, materials, and communications shared within The Room.

7.2. You agree not to spam, scrape participant data, or attempt to contact other members of The Room directly without their explicit consent.

7.3. You shall engage respectfully with the Company and other participants and shall not engage in any conduct that is abusive, disruptive, or damaging to The Room, the Company, or its community.

8. Third-Party Platforms (WhatsApp & Meta)

8.1. The Room is delivered primarily via WhatsApp (operated by Meta Platforms, Inc.). You acknowledge and agree that:

  • Access is contingent upon your ongoing compliance with WhatsApp’s Terms of Service;

  • The Company is not responsible for technical outages, messaging delays, platform policy updates, account suspensions, or disruptions caused by WhatsApp or Meta Platforms, Inc.

8.2. The Company reserves the right to change or update the platform used to deliver The Room at any time, using reasonable endeavors to maintain continuity of access.

9. Limitation of Liability and Indemnity

9.1. You agree to indemnify and hold harmless the Company, its directors, officers, employees, and contractors from and against any claims, liabilities, damages, or expenses arising from your breach of this Agreement or misuse of The Room.

9.2. To the fullest extent permitted by law, our total aggregate liability to you under this Agreement shall not exceed the total amount paid by you in Subscription Fees in the preceding 12-month period.

10. Termination

10.1. We may terminate this Agreement and immediately revoke your access to The Room if:

  • You breach any material term of this Agreement (including Clauses 4, 6, and 7);

  • You engage in conduct that, in our reasonable opinion, is abusive, disruptive, or damaging to The Room or our reputation.

10.2. Upon termination for breach, your Subscription Fee for that period shall be forfeited.

11. Data Protection

We process your personal data in accordance with applicable Jersey data protection laws (including the Data Protection (Jersey) Law 2018). By subscribing, you consent to the collection and use of your phone number, email address, and payment details strictly for the purpose of managing, verifying, and delivering access to The Room.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Jersey. The courts of Jersey shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

13. Acknowledgement of Terms & Statutory Right Waiver

By subscribing to and enrolling in The Room, you confirm that you have read, understood, and agreed to these terms. You explicitly request that performance of this contract begins immediately upon purchase, and acknowledge that access to digital content and community channels is provided immediately, thereby waiving any statutory right to a 14-day cancellation cooling-off period under Jersey distance selling laws once access is granted.
